Website and Platform Terms

1. About the Services

EasyGIC provides a digital platform that allows users to review, request, and facilitate Guaranteed Investment Certificate (“GIC”) transactions and related account activity.

EasyGIC's services are limited to facilitating GIC-related transactions and related administrative activity through the platform. EasyGIC does not provide legal, tax, or accounting advice, and nothing on the website or platform should be interpreted as such advice.

Where EasyGIC or an authorized advisor acts within the authority granted by the user through the platform or related account arrangements, those actions will be binding on the user.

2. User Eligibility and Authority

By using the website or platform, you represent that:

• You are legally capable of entering into binding terms and using the services
• All information you provide is true, current, complete, and not misleading
• Where you act on behalf of another person or entity, you have full authority to do so
• You will use the platform only for lawful purposes and in accordance with these Terms

3. Use of the Platform

EasyGIC may allow you to open or access an account, provide instructions, submit applications, upload documents, view account information, and communicate with financial institution issuers of GICs (the “Issuers”) through the platform.

You authorize EasyGIC, and any applicable advisor acting through the platform, to:

• Facilitate GIC transactions and related account activity based on your instructions
• Communicate with Issuers regarding issuance, investment, reinvestment, purchase, sale, transfer, or delivery of GICs
• Process and assist with applications, forms, and transaction documentation
• Rely on instructions submitted through the platform or by other approved communication methods

4. Your Instructions

EasyGIC may rely on any instruction it reasonably believes has been provided by you or by someone authorized to act on your behalf.

Instructions may be submitted by electronic communication, by telephone, through the platform, or in person where applicable.

To be acted upon, instructions must be sufficiently clear, complete, accurate, and consistent. EasyGIC may delay acting on any instruction until it has completed any verification or authentication steps it reasonably considers appropriate.

EasyGIC is not responsible for delays, missed opportunities, or losses caused by verification procedures or by incomplete, inaccurate, conflicting, or unauthorized instructions. EasyGIC is also not responsible for transactions carried out at your direction after you have been advised that a transaction may not be suitable or advisable.

5. Information You Provide

You are responsible for the accuracy and completeness of all information, documents, records, and data you provide to EasyGIC.

EasyGIC and applicable Issuers may rely on the information you provide for account opening, identity verification, compliance, transaction processing, and related purposes.

You agree to promptly notify EasyGIC of any material change to your information or circumstances that could affect your account, application, or transaction. Until EasyGIC receives and processes notice of that change, EasyGIC may continue to rely on the information already on file. You agree to provide any additional information or documentation that EasyGIC may reasonably request from time to time.

6. Regulatory and Tax Responsibilities

You are solely responsible for your own tax filings, tax reporting, and tax obligations arising from use of the platform or completion of any transaction.

You also agree to comply with all applicable laws, regulations, and regulatory guidance relating to anti-money laundering, anti-terrorist financing, sanctions, fraud prevention, and identity verification, including the Proceeds of Crime (Money Laundering) and Terrorist Financing Act and related requirements.

Upon request, you will promptly provide any information or documents EasyGIC reasonably requires in order to meet its legal and regulatory obligations.

7. Fees and Compensation

EasyGIC or its advisors may receive compensation from Issuers or other permitted parties in connection with services provided through the platform.

Any such compensation will be earned and paid in accordance with the applicable arrangement between EasyGIC, the relevant advisor, and the applicable Issuer.

8. Conflicts of Interest

Information regarding related or connected issuers, referral arrangements, and actual or potential conflicts of interest may be disclosed through the website, within the platform, or in a separate disclosure document or schedule made available by EasyGIC.

By using the platform, you acknowledge that you have access to and are responsible for reviewing those disclosures.

9. Electronic Communications

EasyGIC may deliver notices, disclosures, statements, reports, alerts, account information, regulatory communications, and other materials electronically through the website, platform, portal, email, or other digital means.

Any such communication will be considered received when it is posted, sent, or otherwise made available to you, whether or not you actually review it.

You are responsible for monitoring your account, email, and portal access regularly, and for keeping your contact information current at all times.

Unless you notify EasyGIC in writing within fifteen (15) days of delivery, any confirmation, statement, or communication made available to you will be deemed accepted as accurate.

10. Privacy and Personal Information

EasyGIC may collect, use, store, and disclose personal information where reasonably necessary to operate the website and platform, provide services, verify identity, communicate with Issuers, comply with legal obligations, prevent fraud, and enforce these Terms.

Your personal information will be handled in accordance with EasyGIC's Privacy Policy, as posted on the website or otherwise made available to you.

11. Custody and Asset Handling

EasyGIC does not act as custodian of your assets unless expressly stated otherwise.

Unless otherwise agreed or disclosed, you remain responsible for the possession, control, administration, and ownership of your assets.

You authorize EasyGIC to communicate instructions to Issuers in relation to your GIC transactions, but EasyGIC does not physically hold your assets, register them in its own name, or take possession of proceeds or income unless expressly disclosed otherwise. To the extent permitted by law, EasyGIC has no responsibility for safekeeping, physical custody, or direct collection of your assets unless it has expressly agreed to perform that role.

12. Standard of Conduct

In providing services through the platform, EasyGIC will act honestly, in good faith, and with the level of care, diligence, and skill that a reasonably prudent service provider or advisor would exercise in similar circumstances.

13. No Guarantee of Results

Investment objectives, rates, expected returns, and transaction outcomes are goals or estimates only and are not guarantees. EasyGIC does not guarantee that any investment objective will be achieved, that any particular GIC will remain available, or that any transaction request will be accepted, completed, or processed within a specific timeframe.

14. Acceptable Use of the Website

You agree not to use the website, platform, or services in any way that is unlawful, abusive, harmful, fraudulent, or improper.

Without limiting the generality of the above, you must not:

• Attempt to gain unauthorized access to any account, system, network, database, server, or data
• Interfere with, disrupt, damage, disable, overburden, or impair the website, portal, or related infrastructure
• Upload, transmit, introduce, or distribute any virus, malware, spyware, malicious code, or other harmful material
• Use bots, scrapers, crawlers, automated scripts, or other automated means to access, monitor, copy, or extract data from the website without written permission
• Attempt to bypass security features, authentication measures, access controls, or usage restrictions
• Use the website in a way that could infringe the rights of others, including privacy, intellectual property, or contractual rights
• Impersonate any person or entity or misrepresent your identity or authority
• Submit false, misleading, or fraudulent information
• Use the platform for any activity that could expose EasyGIC, its users, advisors, or Issuers to legal, regulatory, cybersecurity, or reputational risk

EasyGIC may suspend, restrict, or terminate access to the website or platform where it reasonably believes a user has violated these Terms.

15. Intellectual Property

All content, materials, features, design elements, text, graphics, software, branding, trade names, trademarks, logos, interface elements, and other content made available on the website or platform are owned by EasyGIC, its licensors, or other applicable rights holders and are protected by applicable intellectual property laws.

You may view and use the website and platform only for your personal or internal business use in connection with legitimate use of EasyGIC's services.

You may not copy, reproduce, republish, distribute, modify, adapt, frame, mirror, sell, license, reverse engineer, or exploit any part of the website or platform except as expressly permitted by law or by EasyGIC in writing.

16. Website Availability

EasyGIC does not guarantee uninterrupted, error-free, secure, or continuous access to the website, portal, or related services.

The website or platform may be unavailable from time to time due to maintenance, updates, outages, third-party failures, cyber incidents, high demand, or events beyond EasyGIC's control.

EasyGIC may modify, suspend, restrict, or discontinue any part of the website or platform at any time, with or without notice.

17. Third-Party Services and Links

The website or platform may contain links to third-party websites, services, tools, Issuers, or content not operated or controlled by EasyGIC.

EasyGIC does not endorse, control, or assume responsibility for any third-party site, service, policy, content, or practice.

Your use of any third-party website or service is at your own risk and subject to the terms and policies of that third party.

18. Limitation of Liability

To the fullest extent permitted by law, EasyGIC and its directors, officers, employees, shareholders, affiliates, advisors, sub-brokers, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.

Except where caused by a failure by EasyGIC to meet the standard of conduct described in Section 12, EasyGIC will not be liable for losses, claims, damages, expenses, or liabilities arising from:

• Use of or inability to use the website or platform
• Delays, interruptions, outages, or system failures
• Inaccurate, incomplete, outdated, or unauthorized instructions or information
• Decisions made by Issuers or third parties
• Transaction delays, missed opportunities, or unavailable products
• Unauthorized access resulting from your failure to protect your credentials or devices

19. Indemnity

You agree to indemnify and hold harmless EasyGIC and its directors, officers, employees, shareholders, affiliates, advisors, sub-brokers, agents, licensors, and service providers from and against any claims, actions, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from:

• Your breach of these Terms
• Your misuse of the website, platform, or services
• Your violation of law or the rights of any third party
• Instructions, information, or materials provided by you or on your behalf

This indemnity does not apply to the extent the relevant matter was caused by EasyGIC's failure to meet the standard described in Section 12.

20. Events Beyond Reasonable Control

EasyGIC will not be responsible for any delay, interruption, failure, loss, change in value, or missed opportunity caused by events beyond its reasonable control, including governmental action, regulatory restrictions, power failures, telecommunications failures, internet disruptions, labour disruptions, third-party service failures, or other force majeure events.

21. Changes to These Terms

EasyGIC may update, revise, or replace these Terms from time to time.

Where required, notice of material changes may be posted on the website, provided through the platform, or sent electronically.

Your continued use of the website or platform after updated Terms become effective constitutes acceptance of those revised Terms.

22. Suspension and Termination

EasyGIC may suspend, limit, or terminate your access to the website, platform, or services at any time where reasonably necessary for security, legal, regulatory, operational, or compliance reasons, or where you have breached these Terms.

You may stop using the website or platform at any time.

Any provisions of these Terms that by their nature should survive termination will continue in effect, including provisions relating to liability, indemnity, privacy, intellectual property, electronic communications, governing law, and dispute-related matters.

23. Partial Invalidity

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect to the fullest extent permitted by law.

24. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. Any dispute, claim, or proceeding arising from or relating to the website, platform, or these Terms will be subject to the jurisdiction of the courts of Ontario, unless applicable law requires otherwise.

25. Language

The parties expressly request that these Terms and any related documents be drawn up in English.
